Key Responsibilities

  • Own assigned governance frameworks and board processes, build trusted relationships with senior stakeholders, act as primary governance contact, understand organizational objectives, anticipate regulatory risks, and ensure adherence to internal policies, bylaws and statutory requirements within agreed timelines.
  • Drive governance effectiveness through policy development, board coordination, committee support and regulatory filings, prepare governance reports, review corporate structures, and achieve quarterly compliance and audit readiness targets set by management plus risk forecasting.
  • Collaborate with legal, finance, HR and executive teams to translate regulatory requirements into clear internal policies, track implementation of governance controls, and ensure timely, accurate documentation and board approvals.
  • Monitor governance performance, analyse compliance indicators and audit findings, prepare weekly and monthly governance reports with actionable recommendations for senior management and board members and regulatory trend insights.
  • Manage board documentation, minutes, resolutions and statutory registers, track filing deadlines, escalate compliance gaps, and work with finance and legal to ensure accurate disclosures and governance coordination.
  • Resolve governance-related escalations promptly, coordinate internal departments and external advisors, propose practical control improvements, document outcomes, and follow up to prevent recurrence through root-cause analysis and internal audit alignment.
  • Represent the organization during regulatory inspections, attend board and committee meetings, support annual reports and disclosures, and build professional networks to strengthen governance standards and regulatory intelligence.

Requirements

  • 3+ years corporate governance, compliance or company secretarial experience in UAE markets, preferably within listed entities, financial institutions or large corporate environments.
  • Bachelor’s degree in Law, Business Administration or related field; governance certifications (e.g., ICSA or equivalent) preferred or relevant professional experience.
  • Proficient with governance management systems, document control platforms and MS Office tools for reporting and compliance tracking skills.
  • Proven governance controls: managing board schedules, statutory filings, policy reviews, audit coordination and cross-functional compliance monitoring and risk mitigation skills.
  • Demonstrated leadership: mentoring junior governance staff, leading board coordination meetings, and managing small governance teams and performance reviews.
  • Strong professional acumen: regulatory interpretation, risk assessment, internal control frameworks, policy drafting and governance performance indicators.
